By registering for Groupon, Inc's ("Groupon") Groupon Rewards merchant loyalty program ("Program"), you acknowledge and agree to be bound by all of the following terms and conditions ("Terms"), Groupon's Terms of Use and Privacy Statement , and any additional terms that may be applied to the Program or individual Program features from time to time (collectively, the "Agreement"). If you do not agree to be bound by this Agreement, do not register for membership in the Program. Groupon operates the Program and Program services for enrolled Groupon customers and participating merchants. Groupon reserves the right to modify or terminate the Program at any time and in any manner, in whole or in part, as outlined below, even though such changes may affect your progress toward unlocking Rewards Deals (as defined below), the availability of participating merchants or the availability and terms of merchant offers. You agree that you will review these Terms periodically and that you are bound by this Agreement and any modifications we may make to it from time to time. By participating in the Program, you give us permission to use your Personal Information (as defined and specified in our Privacy Statement ), including without limitation, the primary account numbers associated with the valid credit cards registered with your Groupon customer account, to facilitate your Program membership.
As a Program member, when you shop with any of your favorite participating Groupon merchants and spend predetermined amounts at their businesses, you may have the opportunity to access exclusive Groupon deals offered by those merchants (any exclusive deal that you qualify to access, a "Rewards Deal").
It works like this: (1) use any valid payment card registered in your Groupon customer account to make eligible purchases from your favorite Groupon merchants participating in the Program during any period of time that may be established by that merchant (collectively, "Qualifying Purchases"); (2) Groupon will attribute all Qualifying Purchases to your Groupon Rewards account to be applied toward spending threshold established for the specific merchant's Rewards Deal (each dollar spent is a "Program credit"); (3) when you have enough qualifying Program credits to meet the merchant's spending threshold for a specific Rewards Deal, the Rewards Deal will be "unlocked" for you to access. You may be offered access to a Rewards Deal on a complimentary basis (e.g. the Rewards Deal will just be free for you to claim) or on a paid basis (the Rewards Deal may be available for you to purchase). The merchant offering the Rewards Deal will specify whether the Rewards Deal will be free or available for purchase when unlocked
Accumulating Program credit will only enable you to unlock Rewards Deals. Program credits are not redeemable for cash or any other item of value. Program credits may be forfeited if the merchant has established a period during which the spending threshold must be met, and sufficient Qualifying Purchases are not made to achieve the spending threshold in that time frame. You may view your progress toward unlocking specific Rewards Deals by visiting the "My Rewards" tab in your Groupon customer account. Unlocked Rewards Deals are available for you to access and redeem within the period of time specified in the terms of the specific Rewards Deal ("Offer Period"). Once the Offer Period for an unlocked Rewards Deal has passed, you will no longer be able to access that Rewards Deal. Once a Rewards Deal is claimed or purchased, you will be issued a "Groupon Rewards Voucher" which can be used in the same manner as a traditional Groupon voucher and as specified on the face of the Groupon Rewards Voucher itself. Purchases made with Groupon Bucks, amounts added to purchases for sales tax, state fees, shipping charges, delivery charges, service charges, restocking fees, samples, other excluded charges, and certain items that are excluded in a particular merchant's Reward Deal terms, will be excluded and not credited as a Qualifying Purchase, or any portion of a Qualifying Purchase.
You are responsible for ensuring that Program credits are properly added to your Groupon customer account. Program credits may not appear in your account for up to seven (7) days while a Qualifying Purchase is being validated. Any claim that Program credits were not accurately added to your Groupon customer account must be received by Groupon within fourteen (14) days of the date of the claimed Program credit accrual or will be waived. Groupon shall have no liability for any printing, production, typographical, mechanical, or other errors in Program summaries made available by Groupon or for any delay or failure to add accrued Program credits to your Groupon customer account. The final calculation of all Program credit is in Groupon's absolute and sole discretion, and no audit rights are provided to you under the Program. Groupon reserves the right to delay the processing or redemption of Program credit without notice in order to validate Qualifying Purchases and to ensure compliance with this Agreement.
To become a Program member, you must: (a) be a U.S. resident at least 18 years of age as of the date of your enrollment in the Program, (b) have the capacity to enter into a legally binding contract, and (c) have, and maintain in good standing, a Groupon customer account registered with at least one valid credit card.
Participation in the Program is subject to this Agreement, as well as any policies and procedures that Groupon may have, adopt or modify from time to time. Any failure to abide by this Agreement or any policies or procedures implemented by Groupon, any conduct detrimental to Groupon, any misrepresentation or fraudulent activities in connection with this Program, or any failure to act in a manner consistent with federal, state, provincial, or local laws, regulations, or ordinances, may result, in addition to any rights or remedies available to Groupon in law or equity, in the termination of your membership in the Program, as well as forfeiture of any Program credit accrued to date, and any other benefits earned in connection therewith, in Groupon's sole discretion.
Your Program membership, and any Rewards Deal you are offered pursuant to your Program membership is offered exclusively to you and may not be shared, transferred or assigned to any other person or entity
You may cancel your Program membership at any time by visiting the "My Rewards" tab in your Groupon customer account and selecting the "Opt-out" option. Cancellation of your Program membership will not affect the validity of, or your ability to redeem, any Groupon Rewards Voucher you previously purchased through the Program. Cancellation of your Program membership does not entitle you to any form of compensation of any kind, whether for accumulated Program credits that did not unlock a Rewards Deal or for any previously issued Groupon Rewards vouchers.
Groupon may, in its sole discretion, cancel your Program membership and terminate this Agreement if you breach any provision of any component of this Agreement. If Groupon terminates this Agreement due to your breach, Groupon will have no further liability or responsibility to you. If Groupon terminates this Agreement because the Program has been discontinued, our cancellation will not affect the validity of, or your ability to redeem, any issued Groupon Rewards Voucher. Cancellation of your Program membership does not entitle you to any form of compensation of any kind, whether for accumulated Program credits that did not unlock a Rewards Deal or for any previously issued Groupon Rewards vouchers.
GROUPON MAKES NO WARRANTY OF ANY KIND REGARDING THE PROGRAM OR ABOUT OR ON BEHALF OF ANY MERCHANT. THE PROGRAM IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ANY REPRESENTATION OR WARRANTY THAT THE PROGRAM WILL BE ERROR-FREE. GROUPON FURTHER DISCLAIMS ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS AND TIMELINESS OF ANY CONTENT, MERCHANT CONDUCT OR PARTICIPATION, INFORMATION, OR THE CALCULATION OR ATTRIBUTION OF ANY PROGRAM CREDITS. WE EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS, INCLUDING IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE. SOME STATES DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THIS WARRANTY DISCLAIMER MAY BE LIMITED IN ITS APPLICABILITY TO YOU. IN NO EVENT SHALL GROUPON BE LIABLE HEREUNDER FOR INCIDENTAL, SPECIAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES EVEN IF ADVISED IN ADVANCE OF THE POSSIBILITY FOR SUCH DAMAGES AND GROUPON TOTAL LIABILITY FOR DAMAGES UNDER THIS AGREEMENT SHALL BE LIMITED TO ONE HUNDRED DOLLARS ($100).
We reserve the right at all times to discontinue or modify any part of this Agreement as we deem necessary or desirable. Additionally, we reserve the right at all times to add or remove Program membership services or to discontinue the Program. If we make changes that materially affect your use of the Program, we will notify you by sending an e-mail to the e-mail address that is registered with your Groupon customer account or by posting notice of the change at http://www.groupon.com/rewardsToS. You specifically agree to provide and maintain a valid e-mail address and to keep Groupon informed of any changes to your e-mail address. Any changes to this Agreement will be effective upon the earlier of our dispatch of an e-mail notice to you or our posting of notice of the changes in these Terms. We suggest that you review these Terms from time to time to ensure that you are aware of any updates we make to these Terms. Your participation in the Program after we update the Agreement will constitute acceptance of the modified Agreement.
